Vienna, Frankfurt, 10 January 2006 +++ The irrevocable offer to purchase 100% of REGWARE GmbH, as submitted in October 2005 by update software Germany GmbH, a 100 % subsidiary of update software AG, was accepted today by the two owners of REGWARE. The purchase agreements were signed today in Munich. The purchase price of EUR 1.2 mio. is financed out of update’s liquid assets on the basis of a 2 year earn-out model.
REGWARE GmbH is one of the leading providers of CRM solutions for the Pharma & Healthcare industry, with customers such as 3M ESPE AG, ALTANA Pharma Deutschland GmbH, Biologische Heilmittel Heel GmbH, Weleda AG and Merz Pharmaceuticals GmbH. The company with its headquarter in Germering near Munich was established in 1988 by Claus Droemer and Klaus Kohlbauer. The two founders will continue to work within the company in key positions, also after this acquisition.

Commentary text:
With this acquisition, update software AG wants to extend its leading market position as a CRM vendor on the European Pharma & Healthcare market by extending the customer basis, exploiting synergy effects in the product portfolio and reinforcing the competence team. By merging the teams of both companies, an International Competence Centre Healthcare (ICCH) is to be created at the location of REGWARE in Germering near Munich, to bundle the CRM industry competence of update and REGWARE in the Pharma and Medical sector. Our new International Competence Center Healthcare will constitute an important element in the strategic concentration on our core vertical markets.
